Terms of Service

These terms govern your use of the Midgrounder website at midgrounder.com, the editor application served from it, the API endpoints under /api/v1/, and the credit packs you can purchase. By using the service you agree to these terms; if you don't agree, please don't use it.

1. Eligibility and account

You must be at least 13 years old (16 in the EEA/UK) to create an account, and at least 18 years old to purchase credits. You're responsible for keeping your password confidential, for verifying your email when prompted, and for everything that happens under your account. Tell us straight away if you suspect unauthorised access by emailing krachu.psu@gmail.com.

2. Acceptable use

You may not upload images that:

We reserve the right to suspend or terminate accounts that breach these rules, and to refuse processing of any individual upload at our discretion. You retain ownership of the images you upload and the composites you create.

3. AI-generated content

The Pro tier uses Google's Gemini 2.5 Flash Image model to separate uploads into foreground and background layers. The model is non-deterministic; the same input may produce different outputs across runs. We do not warrant that the AI separation will be photographically perfect, fit any specific use, or match any particular aesthetic. Composites you publish are AI-edited; please disclose that to your audience where the platform you publish on, or the law of your jurisdiction, requires it.

4. Credits and payments

Pro-tier processing is metered in credits. The current price is shown on the pricing page. Payments are processed by Stripe; the payment contract for the card transaction is between you and Stripe.

4.1 Right of withdrawal (EU/UK)

If you are a consumer in the EEA or UK, you have a 14-day cooling-off period to withdraw from your purchase under the Consumer Rights Directive. By making your first Pro-tier processing call within that window, you expressly agree to begin performance immediately and waive the right of withdrawal for credits already consumed; unconsumed credits remain refundable for the full 14 days.

5. Service availability

We aim to keep the service running but do not promise uninterrupted availability. Maintenance, third-party API outages (Google Vertex AI, Stripe, Mailgun), and unforeseen events may interrupt service. Pro-tier credits are not consumed for jobs that fail to complete; you are not entitled to other compensation for downtime.

6. Intellectual property

The Midgrounder name, logo, source code, model weights we host, and the website design are owned by Gotoh Industries LLC or our licensors. You're granted a limited, revocable, non-transferable licence to use the service for its intended purpose, but you may not copy or redistribute our code, scrape the API outside the published interface, or reverse-engineer the proprietary parts of the system.

7. Termination

You can delete your account at any time from your profile settings; we will purge your account data within 30 days, except payment records retained for tax law. We can suspend or terminate your account if you breach these terms, if law enforcement requires it, or if continued service would expose us to legal risk; we'll refund any unconsumed Pro-tier credits in those cases unless the breach involves fraud or chargeback abuse.

8. Disclaimers and limitation of liability

To the maximum extent permitted by law, the service is provided "as is" without warranty of any kind. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our aggregate liability for any claim arising from these terms is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in this section limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Disputes that cannot be resolved by good-faith negotiation will be brought before the courts of Sheridan, Wyoming, except that consumers may bring claims in the courts of their own country of residence where local law requires it.

10. Changes

We may update these terms from time to time. Material changes will be communicated by email at least 14 days before they take effect; continued use of the service after that date constitutes acceptance.
